Terms of sale
These terms govern the subscription to, payment for and use of FlowRate. They are drafted for a SaaS service aimed primarily at businesses, without excluding mandatory consumer protection rules whenever they apply.
Article 1 - Publisher and contact details
FlowRate is published by Roman Soubiran, sole trader, registered under SIRET number 99474484500011, with business address at 22 rue de la Landelle, 22120 Quessoy, France. Main contact: contact@flowrate.fr.
Article 2 - Scope and intended customers
These terms define the conditions for subscribing to and using FlowRate. The service is mainly intended for local businesses, independent operators, local networks and other professionals who want to organise review collection and manage their online reputation.
Article 3 - Description of the service
FlowRate provides, in particular: - a customer dashboard; - review collection pages and related assets; - links and QR codes redirecting to the business Google listing; - tracking, alerts and administration tools; - access to billing information and, depending on the plan, email support. The exact scope of features depends on the active offer and may evolve for technical, regulatory or product reasons.
Article 4 - Customer account and prerequisites
The customer must provide accurate information, keep credentials confidential and use the service in good faith. The customer remains responsible for user accounts, devices used to access the service, the content entered in the platform and the actions performed from the account.
Article 5 - Pricing, taxes and invoicing
Applicable prices are those displayed on the website and restated before the order is confirmed. Unless stated otherwise, prices are shown excluding tax; taxes, including VAT when applicable, are calculated at checkout. Payment is secured by Stripe. Invoices and payment receipts are made available through Stripe and/or the FlowRate account.
Article 6 - Trial, term, renewal and cancellation
When a trial period is offered, its conditions are displayed before payment. Unless the subscription is cancelled before the end of the trial, the paid plan starts automatically under the price and billing period shown at signup. Unless stated otherwise, subscriptions are monthly and renew automatically. The customer may cancel from the account area, through the Stripe billing portal when available, or by email. Cancellation takes effect no later than the end of the period already paid for, except in case of non-payment, fraud or serious breach.
Article 7 - Prohibited uses and compliance
The customer must not, in particular: - use FlowRate to publish, encourage or buy fake reviews; - offer benefits in exchange for reviews when this breaches applicable rules, including Google policies; - submit unlawful, defamatory, misleading or third-party rights infringing content; - attempt to bypass the service security measures. The customer remains responsible for the lawfulness of their commercial practices and content.
Article 8 - Availability and support
FlowRate uses reasonable efforts to keep the service available, without guaranteeing uninterrupted or error-free access. Maintenance operations, updates, network incidents, third-party provider failures or security events may temporarily affect service availability.
Article 9 - Consumers and withdrawal rights
The service and commercial offer are designed primarily for businesses. If a person subscribes as a consumer, the mandatory provisions of consumer law apply. As a rule, distance contracts entered into by consumers may benefit from a 14-day withdrawal period. If the consumer expressly requests that the service starts before the end of that period, the consequences provided by consumer law apply depending on the level of performance of the service and the information given at the time of the order.
Article 10 - Intellectual property
The service, interfaces, texts, visual elements, code, logos and documentation remain the exclusive property of FlowRate or its licensors. A subscription only grants a personal, non-exclusive, non-transferable right to use the service for the duration of the contract.
Article 11 - Liability
FlowRate is an execution and organisation tool. No promise of results is made regarding review growth, Google ranking, traffic, revenue or the removal of disputed reviews. Except in cases of gross negligence, wilful misconduct or mandatory legal provisions, FlowRate liability is limited to direct and foreseeable damages and capped at the total amounts paid by the customer during the 12 months preceding the event giving rise to the claim.
Article 12 - Personal data
Personal data processing carried out in connection with the service is described in the Privacy Policy. The customer remains responsible for the information they collect from their own customers and for the legal basis they rely on for that processing; FlowRate acts as a technical service provider to the extent applicable to the service delivered.
Article 13 - Complaints, mediation and disputes
Any complaint must first be sent to contact@flowrate.fr. These terms are governed by French law. For business customers, exclusive jurisdiction is granted to the courts with jurisdiction over Saint-Brieuc, subject to mandatory rules that may apply.
